This User Agreement ("Agreement") governs your use of the ChampionEffect web application and related services (the "Service") provided by ChampionEffect Inc. ("ChampionEffect," "we," "us"). By accessing or using the Service, you agree to this Agreement. If you use the Service on behalf of an organization (your "Company"), you represent that you are authorized to accept this Agreement for that organization.
A separate written agreement between ChampionEffect and your Company, if any, governs the commercial relationship and controls over this Agreement to the extent of any conflict.
ChampionEffect lets members of an organization contribute and discover workflows — typically short videos of how someone uses AI tools — which the Service analyzes (including transcribing any narration), summarizes, breaks into steps, assesses against a skill rubric, and, when the contributor chooses to share it, makes searchable to their Company, and on which members can vote, comment, and propose improvements.
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. Accounts are for the organization's authorized users; your Company's administrators may manage, suspend, or remove accounts and content.
You must be at least 18 years old and use the Service in a professional capacity.
You and your Company retain ownership of the videos, text, and other content you submit ("Your Content"). You grant ChampionEffect a non-exclusive, worldwide license to host, process, transcribe, analyze, display, and share Your Content within your Company's instance of the Service, and to access it as needed to implement, support, and improve the Service, solely to provide the Service. You are responsible for ensuring you have the rights to submit Your Content and that doing so — including recording your screen, voice, or others — complies with applicable law and your Company's policies.
Each of us may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Your Content is your Confidential Information. Each of us will use the other's Confidential Information only to exercise our rights and perform our obligations under this Agreement — for ChampionEffect, that includes providing, supporting, and improving the Service as described under "Your content" — will protect it with at least reasonable care, and will not disclose it to anyone other than our personnel and service providers who need it for those purposes and are bound by confidentiality obligations at least as protective as these. Confidential Information does not include information that is or becomes public through no fault of the recipient, that the recipient already knew or independently developed, or that the recipient received from a third party without a duty of confidentiality. Either of us may disclose Confidential Information when required by law, after giving the other reasonable notice where legally permitted.
You agree not to: use the Service unlawfully or to infringe others' rights; upload content you don't have the right to share, or that is confidential to a third party without authorization; upload malware or attempt to disrupt or gain unauthorized access to the Service; or misuse the Service in a way that harms ChampionEffect or others.
The Service uses AI to generate transcripts, summaries, tool tags, step breakdowns, reusable prompts, required links and terminal commands, skill-tier assessments, suggestions about workflows and recordings, and — at your request — voice-over narration for a recording ("Output"). Output may be inaccurate or incomplete and is provided for informational purposes. Skill-tier assessments in particular are automated estimates of how a workflow uses AI, not evaluations of a person's job performance. You are responsible for reviewing Output before relying on it, and ChampionEffect does not warrant that Output is accurate, complete, or fit for any particular purpose.
The Service references and helps you use third-party tools and platforms. ChampionEffect is not responsible for third-party tools, and your use of them is governed by their own terms.
We may modify, suspend, or discontinue features of the Service. We aim for reliable availability but do not guarantee the Service will be uninterrupted or error-free.
THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, CHAMPIONEFFECT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE. Our aggregate liability for any claim relating to the Service is limited to the amounts paid for the Service in the twelve months before the event giving rise to the claim, or, where no fee was paid, one hundred US dollars.
You may stop using the Service at any time. We or your Company's administrators may suspend or terminate access for violation of this Agreement or as needed to protect the Service. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.
We may update this Agreement from time to time. We will revise the effective date above and, for material changes, provide notice. Continued use after changes take effect constitutes acceptance.
